This Affiliate Program Agreement ("Agreement") is entered into by and between 22 Elevate LLC and 22 Elevate Lab LLC, collectively referred to as "We," "Our," or "Us," and the undersigned affiliate ("Affiliate"), collectively referred to as the "Parties."

1. Definitions

1.1 Affiliate: An individual or business entity approved by the Companies to promote products, services, or events offered by 22 Elevate LLC and 22 Elevate Lab LLC in exchange for commission-based compensation.

1.2 Affiliate Program: The marketing program governed by this Agreement, where Affiliates earn commissions for qualifying sales or referrals through approved promotional methods.

1.3 Affiliate Link: A unique tracking URL provided to the Affiliate for use in promotions to identify sales or referrals generated by the Affiliate.

1.4 Products and Services: Items, digital offerings, or events provided by 22 Elevate LLC and 22 Elevate Lab LLC, including but not limited to health products, biohacking devices, mindset research tools, live events, and medical devices.

2. Enrollment

2.1 To participate in the Affiliate Program, you must submit an application through our Affiliate Portal. Approval is at the sole discretion of the Companies, and we reserve the right to reject any application without providing a reason.

2.2 By joining the program, you agree to the terms of this Agreement and represent that you are legally eligible to enter into a binding contract.

3. Affiliate Responsibilities

3.1 Promotion: You agree to use ethical, lawful, and transparent methods to promote the Companies' products and services. This includes adhering to brand guidelines and avoiding misleading claims.

3.2 Compliance: Affiliates must comply with all applicable laws, including advertising and privacy regulations, such as the FTC Guidelines for endorsements and disclosures.

3.3 Prohibited Activities:

- Misrepresentation of the Companies, products, or services.

- Use of unauthorized marketing techniques, including spam emails or paid ads bidding on branded keywords like "22 Elevate LLC" or "22 Elevate Lab LLC."

- Any activity that violates intellectual property rights or damages the Companies' reputation.

3.4 Brand Integrity: You agree not to alter logos, trademarks, or marketing materials provided by the Companies.

4. Commission Structure

4.1 Earnings: Affiliates earn commissions on qualifying sales or referrals made through their unique Affiliate Link. The current commission rates are as follows:

- 22 Elevate LLC Products/Services: 1% - 50% commission per sale dependent on the product.

- 22 Elevate Lab LLC Products/Services: 1% - 50% commission per sale dependent on the product and platorm.

4.2 Payment Terms:

- Commissions are calculated monthly and paid [30 days after the end of the month].

- Payments are made via PayPal.

4.3 Minimum Payout Threshold: Commissions will be paid once the balance reaches $50.

5. Intellectual Property

5.1 The Companies grant you a non-exclusive, revocable license to use the provided logos, trademarks, and marketing materials solely for promoting the Affiliate Program.

5.2 Affiliates may not modify, reverse-engineer, or create derivative works from any intellectual property belonging to the Companies.

6. Termination

6.1 By Either Party: This Agreement may be terminated at any time by either party with written notice.

6.2 For Cause: We reserve the right to terminate your participation in the Affiliate Program immediately if you breach this Agreement or engage in any prohibited activity.

6.3 Upon termination, you must stop using all Affiliate Links, trademarks, and marketing materials related to the Companies.

7. Limitation of Liability

The Companies are not responsible for any damages, including indirect or consequential losses, resulting from your participation in the Affiliate Program.

8. Governing Law

This Agreement will be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of law principles.

9. Modification

The Companies reserve the right to modify the terms of this Agreement at any time. Affiliates will be notified of changes via email or the Affiliate Portal. Continued participation in the Program constitutes acceptance of the updated terms.

10. Agreement to Terms

By signing below or submitting an online application, you acknowledge that you have read, understood, and agree to the terms outlined in this Agreement.
